Rodinia Lithium Secures $2 Million Stand-by Credit Facility from Key Shareholder


Rodinia Lithium Inc. ("Rodinia" or the "Company") (TSX VENTURE:RM)(OTCQX:RDNAF) is pleased to announce it has entered into a $2.0 million stand-by credit facility (the "Credit Facility") with Aberdeen International Inc. ("Aberdeen"). Aberdeen is currently a significant shareholder of Rodinia, is a long-time supporter of the Company, and is a member of the Forbes & Manhattan Inc. group of companies.
Under the Credit Facility, Rodinia has the ability to draw down amounts up to a maximum of $2.0 million (subject to the terms of the Credit Facility), with repayment of any draw down to be made by February 25, 2016. Any amounts drawn down will bear interest at 10% per annum, payable quarterly in arrears, with the first installment due on June 30, 2013. As at September 30, 2012 (the Company's most recent financial statements for the third quarter), the Company had $621,000 in cash and no debt. Rodinia expects that its current funding will be sufficient to fund its operations through the delivery of a revised National Instrument 43-101 Mineral Resource Estimate and Feasibility Study for its Salar de Diablilos lithium-potash project in Salta, Argentina.
"The Credit Facility is a tremendous vote of confidence from one of our largest shareholders. It insulates us from market uncertainty and provides a ready source of non-dilutive funding, if required, in the future," said Aaron Wolfe, Vice President Corporate Development of Rodinia. "We very much appreciate the on-going support of one of the Company's longest and largest shareholders as we continue to achieve our short term milestones."
In consideration for Aberdeen's commitment under the Credit Facility, Rodinia has agreed to secure the Credit Facility against its Salar de Centenario assets. No fees or warrants have been issued in relation to the establishment of the Credit Facility. Promptly after signing the Credit Facility, the Company will draw down $300,000 from the line of credit.
Aberdeen is a non-arm's length party; as such term is defined by the TSX-Venture Exchange, as Aberdeen and Rodinia have a common senior officer.

PlanetEcosystems and Marin Energy Authority today announced that MCE, the first Community Choice Aggregation (CCA) program in California and electricity supplier of choice to Marin county and Richmond residents, will deploy PlanetEcosystems' P-ECOSYS consumer engagement platform. MCE chose PlanetEcosystems' plug-and-play platform for its orientation around consumer needs, and its emphasis on strengthening relationships with the area's 120,000 households.

As Miranda blew out her candles, her mom Tiffany Beamer set a goal to raise one million dollars for childhood cancer. Tiffany rallied Cancer Moms nationwide and formed 46 Mommas. 46 months later, on February 24, 2013, that goal was finally reached.

The number 46 is important, says Tiffany Beamer, the founder of the 46 Mommas team. Every week day, 46 children are diagnosed with cancer; every year, 46 new mommas shave for the brave. Our children lose their hair by treatment, we lose ours by choice.

Officially, the mommas shave for the St. Baldricks Foundation, the largest private funder of childhood cancer research. Unofficially, they shave for their children, as each momma has been touched by the ravages of childhood cancer. Since the mommas inaugural shave in September 2010, 138 different cancer moms have shaved for the team, 46 at a time. By the end of this June, another 46 will shave, bringing the official tally of mommas to 184.

In the United States, more than 13,000 children are diagnosed with cancer every year. Of those, 20%, or about 2,500, lose their lives, making childhood cancer the number cause of death by disease for children and adolescents in America.

While most of the children lose their lives to cancer, some are victims of the treatments they go through, most of which were originally formulated in the 1970s. Until a few years ago, there had been no new drugs designed solely for the treatment of childhood cancer in more than 30 years. Those that do survive the treatment often suffer complications, even decades after the end of treatment.

About 46 Mommas
46 Mommas Shave for the Brave team is a grassroots group of women who have shaved their heads for St Baldricks to raise money and awareness for childhood cancer. The group was started by Tiffany Beamer in 2009. The mommas shaved for the first time in September 2010. To date, 138 mommas have officially shaved for the team, with dozens more organizing events to help in their fundraising efforts.

The 2013 team of 46 Mommas will shave this year on June 30, 2013 at the Arneson River Walk Theater in San Antonio, Texas.

Can we put a price on nature?

Launch of earth debates - flagship event series in preparation of Rio+20

The vital role of our environment within our economy has been hidden until recently. Pollinating crops, balancing our water distribution and even providing genetic resources for our medicine are just a few examples of the life-support that natural resources provide. Yet with no market value, they are consumed freely.

Tools for calculating some of these natural services are now being developed in Ecosystem Economics and are already influencing global environmental policy. The Economics of Ecosystems and Biodiversity (TEEB) study, launched in 2007 by the Federal Environment Ministry and commissioner for the Environment in the European Commission, transformed the way nature is valued, and the costs of its loss. For example, the report estimates the loss of bees and other insects pollinating our crops, to be 153 billion Euros every year, representing 9.5% of world agricultural output in 2005. This brings to light some key questions: What are the strengths of this emerging understanding and what are the risks? To what extent will the new economics of ecosystem services change our attitudes towards sustainable development?

Tackling these issues, in a Question Time format, were panellists Professor Sir Robert Watson (Chief Scientific Advisor to Defra), Will Evison (Environmental Economist, PricewaterhouseCoopers), Ian Dickie (Director, Aldersgate Group) and Claire Brown (Senior Programme Officer Ecosystem Services and Assessment, UNEP-World Conservation Monitoring Centre). The panellists provided a rich range of insights from the scientific, policy, business and civil society perspectives. Held at the Natural History Museum and chaired by The Guardians Former Science Editor, Tim Radford, the debate was available via a live web-cast on the Natural History Museum website.

The Natural History Museum, Stakeholder Forum and The British Council launched the Earth Debates series to drive momentum and contribute to discussions surrounding the United Nations Conference on Sustainable Development (UNCSD), also known as Rio+20, happening in Brazil 20-22 June 2012. The direct descendent of the 1992 Rio Earth Summit, Rio+20 is being held at the highest political level and will bring together Heads of State and Government decision makers to generate a new global vision for sustainable development.

This flagship series of debates will bring together high level representatives from key sectors including Government, non-government, civil society and business and tackle key issues at the heart of Rio+20 the global transition to a fair and green economy agenda.

The great challenge in creating a sustainable future is understanding and living within the natural limits of our planet. Holding this debate in the heart of the Natural History Museum recognises the crucial role for science evidence of global change in realising the goals of Rio+20 said Dr Michael Dixon, Director, The Natural History Museum, London.

The benefits that we get from nature such as flood control, pollination services and clean air have often been taken for granted because we get them for free. Through TEEB and the UK National Ecosystem Assessment we now have a much greater appreciation of the true value of nature, which is now being embedded into the big decisions facing Government. There is a clear need to better manage our ecosystems, and Government, the private sector and the public will need to work together to ensure we protect what nature provides. said Professor Sir Bob Watson, Chief Scientist at Defra.

Agilent Technologies Helps Students Acquire Real-World EDA Skills with New Licensing Program

SANTA CLARA, Calif.

Agilent Technologies Inc. (NYSE: A) today launched the Agilent EEsof EDA Student License Program, designed to provide access to Agilent EEsof EDA software on students personal computers.

With the license, students no longer have to use university lab computers or log in to a university system to access Agilent EEsof software via Agilent EEsof license servers. Instead, students can now access Agilent EEsof software anyplace, anytime on their own computers. Agilent EEsof software available through the licensing program includes Advanced Design System (ADS), Electromagnetic Professional (EMPro), Genesys and SystemVue.

The licensing program is open to students attending universities that participate in the Agilent EEsof EDA University Educational Support Program. Students can request a license by completing the Student Codeword Request form at agilent.com/find/eesof-university. Issued licenses will be the same as those actively supported for the students university. If the university has a supported ADS university donation package, for example, students will receive ADS licenses. All licenses are valid for 12 months and are for educational purposes only. They cannot be used for commercial purposes.

These licenses are only being offered in the Americas, Europe (excluding Russia) and Japan. Specifics about program requirements are available at agilent.com/find/eesof-university. Agilent EEsof EDA University Education Support Program

The new Student License Program is part of Agilent EEsofs University Educational Support Program, which offers full versions of Agilent EEsof software to qualified academic institutions for instructional use. This software, the same as used in industry, creates a full RF-EDA experience to help students develop skills that will serve them throughout their careers. A working knowledge of Agilent EEsofs design tool capabilities allows students to enter the workforce with skills valued by industry-leading employers. Additionally, the software enables professors to encourage student creativity and students to capture and present that creativity in a form thats recognized and trusted in conference papers, presentation and proposals.

Users can change and set the last modification date, the creation date, as well as the last access portion of the time stamp, touching the time stamp. Also they can recursively change the file modification and creation dates. Users simply select a group of files, either using wildcards or using multiple selections, then click on a file to see its file attributes. Users can either choose to set the time stamp individually, or apply a certain fill the time stamp to all the selected features.

Other features include the ability to adjust for various versions of Windows that adjust the time (i.e. -8 hours GMT), thus correctly adjusting the 'internal' file time stamp. Understanding search and seizure when pulled over for suspected DUI

When police suspect that a crime has been committed, they commonly conduct a search and seizure by searching a person's property and confiscating any evidence that's correlated to the alleged crime. However, there are certain restrictions around search and seizures, particularly when it involves a DUI stop and vehicle search.

Under the 4th amendment to the United States Constitution the "right of the people to be secure in their persons, houses, papers, and effects, against unreasonable searches and seizures, shall not be violated..." Therefore officers of the law cannot simply search an individual's property without following proper procedures.

Throughout the years, the courts have laid out interpretations of unlawful searches and seizures based on particular facts and circumstances and have provided definitions of what constitutes a "search" and what is considered a "seizure" for 4th amendment purposes.

What constitutes an unreasonable search and seizure?

Generally, a "search" occurs when there is an infringement of a person's expectation of privacy, or generally what's widely considered one by the public. A "seizure" takes place when there is a "meaningful interference with an individual's possessory interest in that property."

Contrary to popular belief, a warrant is not needed for all search and seizures. Courts have determined that when an individual doesn't possess a "reasonable expectation of privacy," the government can essentially interfere and search with no warrant needed.

Courts have ruled throughout the years that people do not have a reasonable expectation of privacy under certain circumstances. One such example involves vehicles and is known as the "automobile exception."

Automobile exception

Under this rule, police are allowed to search a motor vehicle without a search warrant if the officer has what's known as "probable cause" to believe that there is evidence or contraband located inside the car. This search expands to allow officers to search containers found inside a vehicle, contents that don't necessary belong to the owner or driver of the car, such as the purse of a passenger in the car, and the search of a vehicle's trunk.

"Probable cause" generally means that an officer has "a reasonable amount of suspicion, supported by circumstances sufficiently strong to justify a prudent and cautious person's belief that certain facts are probably true." For instance, if an officer pulls over a car for suspected DUI because the driver was driving erratically, approaches the car and smells alcohol or drugs emanating from the vehicle, this could give the officer probable cause to conduct a search. However, officers cannot simply search a vehicle after pulling over a car for a routine traffic infraction like running a stop sign.

Typically, traffic violations aren't seen as generally being tied to a criminal activity.

Rule of thumb

Generally, drivers and passengers are encouraged to abide by this rule of thumb: Don't put anything in a vehicle (including the trunk) that you would want the police to get their hands on.

There is enough at stake for those pulled over for suspected DUI. Officers that find additional contraband only adds more stress and potential repercussions by an accused.

Saxena White P.A. has filed a securities fraud class action lawsuit in the United States District Court for the Southern District of New York against Mellanox Technologies Ltd. ("Mellanox" or the "Company") (NASDAQ: MLNX) on behalf of investors who purchased or otherwise acquired the common stock of the Company during the period from April 19, 2012 through January 2, 2013 (the "Class Period").The complaint brings forth claims for violations of the Securities Exchange Act of 1934.
Mellanox is a fabless semiconductor company that produces and supplies interconnect products for computing, storage, and communication applications in the computing, Web 2.0, storage, financial services, database, and cloud markets.Mellanox's most lucrative product offering at the start of the Class Period was its InfiniBand product. InfiniBand technology is used to transfer and store data in high-end computing and data centers.
The complaint alleges that during the Class Period, defendants issued materially false and misleading statements regarding the Company's financial performance and future prospects.According to the complaint, the true facts, which were known or recklessly disregarded by each of the defendants but concealed from the investing public during the Class Period, were as follows:
(i)Mellanox was receiving a continuous stream of customer complaints concerning glitches in its InfiniBand product;
(ii)Mellanox knew that the pace of a competitor's development of its own InfiniBand adaptor would diminish Mellanox's product offering and increase competition in the InfiniBand market in which Mellanox enjoyed a near monopoly; Mellanox knew that its outsized first and second quarter 2012 sales growth was not sustainable and was not the result of defendants' business acumen or growth in the InfiniBand market;
(iii)Mellanox's inventory was dramatically increasing, both at the Company and in the hands of at least one significant customer, which would decrease sales and profit margins going forward; and
(iv)as a result, Mellanox knew its actual sales growth supported neither its own fourth quarter 2012 guidance nor the inflated share price targets the investment community was modeling based on defendants' bullish Class Period statements and guidance.
According to the complaint, through a series of partial disclosures made between September 7, 2012 and January 3, 2013, the market learned that the Company's business was not as defendants had portrayed it throughout the Class Period. On September 7, 2012, Mellanox shares were downgraded from Buy to Hold. Then on October 18, 2012, Mellanox reported third quarter 2012 financial results and issued lower than expected fourth quarter 2012 fiscal guidance. Finally, at the end of the day on January 2, 2013, defendants were forced to concede that Mellanox had grossly missed its fourth quarter 2012 revenue guidance by upwards of 20%. This news, along with the earlier negative announcements, shocked the market causing the price of Mellanox stock to fall precipitously, on unusually high trading volume.
